Shein just kicked off investor meetings for a Hong Kong IPO it hopes to launch as early as mid-August, and Reuters reported the target is a $30–40 billion valuation. Back in 2022, private investors priced the same company at $98.2 billion.
That kind of drop has a name: a down round, when a company raises money — or in this case, lists publicly — at a lower valuation than its previous round. It doesn’t always mean the business collapsed. Sometimes it just means the market’s willingness to pay a premium for that business, or that entire category, has shrunk. Existing investors get diluted more than they expected, and the drop can send a signal to the next round of buyers that there’s more room to negotiate down.
Shein’s target represents a steep reset from its $98.2 billion peak in 2022, after the company’s valuation had already slid to around $64 billion in private rounds through 2023 and April 2024. This is also Shein’s third attempt at going public — earlier plans to list in New York and London both fell apart before the company secured Chinese regulatory approval in July 2026 to pursue Hong Kong instead.
Down rounds cluster in waves. A lot of companies got priced during 2021’s cheap-money environment, when growth stories commanded multiples that assumed rates would stay near zero forever. Three or four years later, many of those same companies are testing what investors will actually pay once that assumption is gone — and a public listing, unlike a private funding round, forces the company to accept whatever price the broader market sets that day.
It’s worth remembering that a lower price tag isn’t automatically bad news for a buyer. It’s the flip side of what happens when a company debuts at a premium instead — something we saw with CXMT’s 470% first-day pop, where scarce shares pushed the price up rather than down. And headline IPO returns can be misleading in both directions — a pattern worth keeping in mind, similar to the selection bias built into average biotech IPO returns.
